Terms of Service

TL;DR

Use FlowE responsibly. You own your content. FlowPoints have no cash value. We can update these terms with 30 days notice.

1. Acceptance of Terms

By downloading, installing, accessing, or using the FlowE mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and FlowE ("FlowE," "we," "us," or "our").

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

FlowE is a productivity and task management application designed for college students, graduate students, professionals, and adult learners. The Service includes, but is not limited to:

  • Task creation, management, and organization
  • Calendar and schedule management
  • Canvas LMS calendar integration
  • Family and household coordination features
  • Gamification system including FlowPoints, achievements, and leaderboards
  • AI-powered productivity features including task suggestions and time estimation
  • Focus timer for concentrated work sessions
  • Push notifications for reminders and updates

FlowE is currently offered free of charge. We reserve the right to introduce premium features, subscription tiers, or paid services in the future, which would be subject to additional terms and advance notice.

3. User Accounts

a) Eligibility

You must be at least 18 years of age to create an account and use FlowE. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. FlowE is not intended for use by anyone under 18.

b) Account Creation

To use FlowE, you must create an account using Google Sign-In or Apple Sign-In. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

c) Account Security

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must not share your account credentials with others. You agree to notify us immediately at support@flowe.cc of any unauthorized use of your account or any other breach of security.

d) Account Responsibilities

  • You are solely responsible for all content you create, upload, or share through the Service.
  • You must not create multiple accounts for deceptive purposes.
  • You must not use another person's account without their permission.

4. User Content

a) Ownership

You retain full ownership of all content you create within FlowE, including tasks, events, projects, notes, and any other data you input ("User Content"). FlowE does not claim ownership over your User Content.

b) License to FlowE

By using the Service, you grant FlowE a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your content or your account.

c) Content Shared with Family

When you share content with family members through FlowE's family features, you acknowledge that those family members will be able to view and interact with that shared content. You are responsible for ensuring you have the right to share any content you make available through family features.

5. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon or violate the intellectual property rights or privacy rights of any third party.
  • Upload, transmit, or distribute any malicious code, viruses, or other harmful content.
  • Attempt to gain unauthorized access to FlowE's systems, servers, or other users' accounts.
  • Interfere with, disrupt, or create an undue burden on the Service or its infrastructure.
  • Use automated bots, scrapers, or other automated means to access the Service without our prior written consent.
  • Harass, abuse, threaten, or intimidate other users.
  • Use the Service to transmit unsolicited communications or spam.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

Violation of these prohibitions may result in immediate termination of your account and, where applicable, referral to law enforcement authorities.

6. Canvas LMS Integration

FlowE offers optional integration with Canvas LMS ("Canvas"), a product of Instructure, Inc. By connecting your Canvas account:

  • You authorize FlowE to access your Canvas calendar data (events, assignments, and due dates) through your institution's Canvas ICS calendar feed.
  • You are solely responsible for your Canvas account and for ensuring that your use of FlowE complies with your institution's acceptable use policies.
  • You may disconnect your Canvas integration at any time through the app settings.

FlowE is not affiliated with, endorsed by, or sponsored by Instructure, Inc. or Canvas LMS. Canvas and the Canvas logo are trademarks of Instructure, Inc. FlowE is an independent third-party application.

We do not guarantee uninterrupted access to Canvas data. Changes to Canvas APIs, your institution's policies, or your Canvas account status may affect the integration. FlowE is not responsible for the availability, accuracy, or completeness of data provided by Canvas.

7. Family Coordination

FlowE offers family coordination features that allow users to share tasks, events, and other information with family or household members. By using these features:

  • You are responsible for sending family invitations only to individuals you know and who have consented to participate.
  • All members of a family group must be 18 years of age or older.
  • By accepting a family invitation, each member consents to sharing designated data (tasks, events, display name) with other family group members.
  • You can leave a family group at any time, which will immediately revoke other members' access to your data.
  • The family group creator ("Household Manager") may remove members from the group.

FlowE is not responsible for disputes between family group members or for content shared within family groups.

8. Gamification & FlowPoints

FlowE includes a gamification system featuring FlowPoints, achievements, levels, streaks, and leaderboards designed to motivate productivity. Regarding this system:

  • No Monetary Value: FlowPoints, achievements, levels, and other gamification elements have no real-world monetary value and cannot be exchanged for cash, credit, or any form of currency.
  • No Property Rights: You do not acquire any ownership or property rights in FlowPoints or other virtual items.
  • System Modifications: FlowE reserves the right to modify, adjust, reset, or discontinue any aspect of the gamification system at any time, including point values, achievement criteria, level thresholds, and leaderboard calculations, with or without notice.
  • Fair Play: Manipulation of the gamification system through exploits, automation, or other deceptive means is prohibited and may result in account suspension or termination.
  • Non-Transferable: FlowPoints and achievements are tied to your account and cannot be transferred to other users.

9. Intellectual Property

The Service and its original content (excluding User Content), features, functionality, design, graphics, logos, and trademarks are and will remain the exclusive property of FlowE and its licensors. The Service is protected by copyright, trademark, trade dress, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof without our prior written consent. Nothing in these Terms grants you any right to use FlowE's name, logos, or trademarks.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, FlowE does not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from using the Service will be accurate or reliable.
  • Any defects or errors in the Service will be corrected.
  • The Service will be compatible with any particular hardware or software.
  • AI-powered features, including task suggestions and time estimates, will be accurate or suitable for any particular purpose.
  • Third-party integrations (including Canvas LMS) will remain available or function without interruption.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLOWE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Missed deadlines, assignments, or events due to Service interruptions or inaccuracies.
  • Reliance on AI-generated suggestions, time estimates, or recommendations.

In no event shall FlowE's total liability to you for all claims arising out of or relating to the use of the Service exceed the amount you have paid to FlowE in the twelve (12) months preceding the claim, or fifty US dollars ($50.00), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless FlowE, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (d) any claim that your User Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Service.

13. Termination

a) Termination by You

You may terminate your account at any time by navigating to Settings → Account → Delete Account within the app. Upon account deletion, your data will be handled in accordance with our Privacy Policy, including a 30-day grace period before permanent deletion.

b) Termination by FlowE

We reserve the right to suspend or terminate your account and access to the Service, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Conduct that we determine, in our sole discretion, is harmful to other users, FlowE, or third parties.
  • Extended inactivity of your account.
  • Requests by law enforcement or government agencies.

c) Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction in the State of California.

You agree that any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes:

  • We will update the "Effective Date" at the top of these Terms.
  • We will notify you via push notification, in-app notice, or email for material changes.
  • We will provide at least 30 days' notice before material changes take effect.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Service and delete your account.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowE regarding your use of the Service.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of FlowE to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. FlowE may assign its rights and obligations under these Terms without restriction.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
  • Force Majeure: FlowE shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or pandemics.
